Terms of Use

The terms that apply when you use our website and our services. Effective from 15 October 2026.

In short: use the website lawfully, we agree the scope and fees in writing before any paid work, results are not guaranteed, and each of us keeps the other's information confidential.

1. Introduction and acceptance

These Terms of Use (the “Terms”) govern your use of mycorporatebuddy.org (the “Website”) and the advisory and consulting services (the “Services”) offered by My Corporate Buddy, a sole proprietorship based in Noida, Delhi NCR, India (“My Corporate Buddy”, “we”, “us” and “our”).

By using the Website, or by engaging us for the Services, you agree to these Terms. If you do not agree, please do not use the Website.

You confirm that you are at least 18 years old and that you have the legal capacity to enter into a binding contract under Indian law. If you use the Website or the Services on behalf of a business, you confirm that you have authority to bind that business, and “you” includes that business.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They do not need a physical or digital signature.

2. Using the Website

You may use the Website for lawful purposes and in line with these Terms. You must not:

  • use the Website in breach of any law, or to infringe the rights of any person
  • attempt to gain unauthorised access to the Website, its servers or any connected system
  • introduce viruses, malware or other harmful code
  • copy the Website in bulk using bots, scrapers or similar tools without our written permission
  • send spam, or false, misleading or abusive messages through the contact form
  • pretend to be another person or business
  • interfere with or disrupt the Website or its security

We may suspend or block access to the Website for anyone who breaches this section.

3. Our Services and the Engagement Agreement

Information on the Website describes our Services in general terms. Nothing on the Website is an offer that you can accept to form a contract.

Before paid work begins, we will agree the scope, deliverables, timeline, fees and any special terms with you in writing, for example in a proposal, a statement of work, or an email that you accept (the “Engagement Agreement”). The Engagement Agreement and these Terms apply together. If they conflict about the Services, the Engagement Agreement prevails.

Our first conversation is free and carries no obligation. A client relationship exists only when an Engagement Agreement is in place. Until then, we do not owe you a duty to give advice, and you should not rely on anything discussed in the first conversation as advice.

Any change to the scope must be agreed in writing, and may change the fees and the timeline. We may use team members, interns and trusted collaborators to deliver the Services, and each of them is bound by confidentiality obligations.

4. Nature of our advice and no guarantee of results

Our Services consist of business advice, review and design work. We are not a law firm, a chartered accountant, or a tax, investment or regulated financial adviser. Our Services are not legal, tax, accounting, investment or regulatory advice, and you should take professional advice on those matters.

We provide the Services with reasonable skill and care. We do not guarantee any particular result, such as revenue, growth, funding, user numbers, conversion rates or customer outcomes. Results depend on many factors outside our control, including your decisions, your market and how well recommendations are carried out. Case studies and examples on the Website describe real engagements. They are illustrations, and your results may be different.

You remain solely responsible for your business decisions and for carrying out our recommendations. For UI/UX work, we review, advise and design solutions. We do not write code or build products, and we are not responsible for how a solution is built, or how it performs once others have built it.

5. Your responsibilities

You agree to:

  • give us information that is accurate and complete, as far as you know
  • give us the access, materials and timely feedback that we reasonably need
  • make sure you have the right to share materials and personal data with us, and to authorise us to review your product or systems
  • keep any login details you share with us secure, and remove access when the work ends
  • comply with applicable law
  • pay our fees on time

Delays caused by you may affect the timeline, and we are not responsible for a delay that results from them.

6. Fees, invoices and payment

Fees are set out in the Engagement Agreement. Unless it says otherwise:

  • fees are exclusive of Goods and Services Tax and any other applicable tax, which you pay in addition at the applicable rate
  • we send an invoice, and you pay it within the period stated in the invoice, by the method we agree
  • reasonable out-of-pocket expenses that you have approved in advance are charged in addition
  • if you deduct tax at source as the law requires, you give us the proper certificate
  • if a payment is overdue, we may pause the Services until we receive it, and we may charge reasonable interest on the overdue amount, as stated in the Engagement Agreement
  • fees for work that has already been delivered are not refundable

The Website does not accept payments.

7. Confidentiality

Each of us will keep the other's confidential information confidential. We will use it only to provide or receive the Services, and we will not disclose it except to people who need it and are bound by duties of confidentiality, or where the law requires. Our commitments to clients are described in our Client Confidentiality statement.

Confidential information does not include information that is or becomes public without a breach of this section, was already lawfully known to the person receiving it, is developed independently, or is lawfully received from a third party. Confidentiality obligations continue after the Services end.

If we sign a separate non-disclosure agreement with you, that agreement prevails over this section. Unless you tell us otherwise in writing, we may describe our work for you in anonymous case studies that do not identify you or your business.

8. Intellectual property

Our Website. All content on the Website, including text, design, logos, graphics and software, belongs to us or our licensors and is protected by Indian and international intellectual property laws. You may view the Website, and print or share pages for personal or internal business use. You must not copy, reproduce, modify, distribute or commercially use our content without our written permission.

Our materials. We keep ownership of our methods, frameworks, templates, processes, tools and know-how, including any that we develop or improve while providing the Services (“Our Materials”).

Your materials. You keep ownership of the materials you give us (“Your Materials”). You give us a limited, non-exclusive licence to use Your Materials only to provide the Services.

Deliverables. Once you have paid in full, we give you a non-exclusive, perpetual licence to use the deliverables we create for you, such as reports, plans, flows, wireframes and prototypes, for your own business purposes. The licence includes any of Our Materials that are part of those deliverables, but only as part of them. It may be transferred together with your business. You may not resell or sub-license the deliverables as a stand-alone product. The Engagement Agreement may say something different.

9. Third-party services and links

The Website links to services run by others, such as LinkedIn, YouTube and WhatsApp. We do not control them and are not responsible for their content, availability or practices. Your use of them is subject to their own terms.

10. Disclaimer of warranties

The Website and its content are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including those of accuracy, completeness, fitness for a particular purpose and non-infringement. We do not promise that the Website will be uninterrupted, secure or free of errors.

Articles and other content on the Website are general information. They are not advice for your specific situation.

11. Limitation of liability

To the fullest extent permitted by law:

  • we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, goodwill, opportunity or data, however it arises
  • our total liability arising out of or in connection with the Website or the Services, whether in contract, tort (including negligence) or otherwise, is limited to the fees you actually paid us for the Services that gave rise to the claim

Nothing in these Terms limits or excludes liability for fraud or wilful misconduct, or any liability that cannot lawfully be limited or excluded.

12. Indemnity

You agree to indemnify us against, and hold us harmless from, losses, claims and reasonable expenses, including reasonable legal fees, that arise from: your breach of these Terms or the Engagement Agreement; your unlawful use of the Website or the Services; or a claim that Your Materials, or your instructions to us, infringe the rights of a third party or break the law. We will tell you promptly about any such claim, and you will cooperate with us in dealing with it.

13. Term, suspension and termination

These Terms apply for as long as you use the Website or receive the Services. Either of us may end an engagement as set out in the Engagement Agreement or, if it does not say, by giving the other reasonable written notice.

We may suspend or end the Services immediately if you materially breach these Terms, fail to pay an invoice when due, or if continuing would break the law. When an engagement ends, you pay for the Services performed and the approved expenses incurred up to the end date, and we return or delete your materials in line with our confidentiality commitments.

The sections on confidentiality, intellectual property, fees owed, disclaimers, limitation of liability, indemnity, governing law and dispute resolution continue after these Terms or an engagement end.

14. Events beyond our control

Neither of us is liable for a failure or delay caused by events beyond reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or failures of third-party services, as long as the affected person tells the other promptly and takes reasonable steps to limit the effect. This does not excuse payment for work already done.

15. Electronic communications and notices

You agree that we may communicate with you electronically, by email, WhatsApp or through the Website, and that these communications satisfy any legal requirement that they be in writing. Notices to us must be sent by email to hello@mycorporatebuddy.org. We will send notices to you at the contact details you have given us.

16. Privacy

We handle personal data in line with our Privacy Policy, which forms part of these Terms.

17. General

  • Entire agreement. These Terms, the Engagement Agreement, the Privacy Policy and the Client Confidentiality statement are the whole agreement between us about their subject matter, and replace earlier discussions and understandings.
  • Changes. An Engagement Agreement can be changed only in writing, agreed by both of us.
  • Severability. If any part of these Terms is found to be invalid or unenforceable, the rest remains in force.
  • No waiver. If we do not enforce a right straight away, we have not given it up.
  • Assignment. You may not transfer your rights or duties under these Terms without our written consent. We may transfer ours to a successor to our business.
  • Independent parties. Nothing in these Terms makes us partners, agents or employer and employee.
  • Third parties. Only you and we have rights under these Terms.
  • Language. These Terms are in English, and the English version prevails.

18. Governing law and dispute resolution

These Terms are governed by the laws of India.

If a dispute arises, we will first try to settle it through good faith discussion for 30 days after one of us gives the other written notice of the dispute. If we cannot settle it in that time, the dispute will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time.

  • There will be one arbitrator, appointed by the mutual agreement of both of us. If we cannot agree, the arbitrator will be appointed as the Act provides.
  • The seat and venue of arbitration will be Noida, Uttar Pradesh, and the language will be English.
  • The arbitrator's award will be final and binding on both of us.

Subject to this, the courts at Noida, Uttar Pradesh have exclusive jurisdiction for urgent interim relief, to support the arbitration, and to enforce an award.

19. Changes to these Terms

We may update these Terms from time to time. The effective date at the top shows when they were last changed. If you continue to use the Website after a change, you accept the updated Terms. A change does not affect an Engagement Agreement that is already in force, unless you agree to it in writing.
